By accessing or using AssociationMinutes (the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, do not use the Service.

The Service is operated by Zippy Technologies LLC.

You must be at least 18 years old to use the Service.

By using the Service, you represent and warrant that you are legally capable of entering into a binding agreement and are authorized to use the Service.

AssociationMinutes provides a tool for generating draft meeting minutes from user-provided audio recordings.

The Service is provided as a processing tool only. We do not participate in, verify, or validate the underlying meetings or their contents.

You are solely responsible for:

• -The content you upload to the Service
• -Ensuring you have the legal right to record and upload audio
• -Obtaining all required consents from meeting participants
• -Complying with all applicable laws, including recording and privacy laws

You represent and warrant that your use of the Service complies with all applicable laws and regulations.

AssociationMinutes does not verify consent and is not responsible for how recordings are obtained.

The Service generates draft meeting minutes based on automated processing.

You acknowledge and agree that:

• -Generated content may contain errors, omissions, or inaccuracies
• -Speech recognition and AI processing are not perfect
• -The output is not a legal record and should not be relied upon as such
• -You are responsible for reviewing, editing, and approving all generated content before use

You retain ownership of all content you upload to the Service, including audio recordings and generated minutes.

By using the Service, you grant us a limited, non-exclusive, temporary license to process your content solely for the purpose of providing the Service.

We retain all rights, title, and interest in the Service, including all software, systems, and underlying technology.

You agree not to:

• -Upload content you do not have the right to use
• -Use the Service for unlawful purposes
• -Violate any applicable laws or regulations
• -Interfere with or disrupt the operation of the Service

The Service is provided on a per-use basis.

Payment is required before processing begins. Processing may begin immediately after payment is successfully completed.

Prices are subject to change at any time without prior notice. Any price changes will not affect orders that have already been paid for.

Promotional, introductory, or discounted pricing may be modified or discontinued at any time.

You are responsible for any applicable taxes, fees, or charges associated with your purchase.

Payments are processed through third-party payment providers. AssociationMinutes and Zippy Technologies LLC are not responsible for errors, interruptions, or security issues caused by third-party payment processors.

We offer refunds within 14 days of purchase. Refund requests may be denied if the Service has already been fully delivered, processed, or materially used.

You are responsible for maintaining the confidentiality of your account.

We may suspend or terminate your account if you violate these Terms.

You may stop using the Service at any time.

We do not guarantee that the Service will be uninterrupted, secure, or error-free.

We reserve the right to modify, suspend, discontinue, or change features, functionality, pricing, or availability of the Service at any time without liability.

The Service is provided "as is" and "as available."

We disclaim all warranties, express or implied, including:

• -Accuracy or reliability of generated content
• -Fitness for a particular purpose
• -Non-infringement

To the maximum extent permitted by law:

Zippy Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• -Loss of data
• -Loss of profits
• -Business interruption
• -Disputes arising from use of generated content

Our total liability for any claim arising out of or relating to the Service shall not exceed the amount you paid for the Service.

You agree to indemnify, defend, and hold harmless Zippy Technologies LLC from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• -Your use of the Service
• -Your violation of these Terms
• -Your failure to obtain required consents for recordings
• -Any content you upload to the Service

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to conflict of law principles.

We may update these Terms from time to time. Updated versions will be posted with a revised effective date.
