HOA Meeting Minutes Example

A complete, filled-in set of HOA board meeting minutes, with notes on why each part is written the way it is and a free Word download.

Dmitry Prokorym, HOA Secretary - Published October 23, 2026 · Updated October 23, 2026

This is a complete set of HOA board meeting minutes, filled in from start to finish. The association, the people, and the numbers are made up. The structure is the one I use for my own HOA's minutes, and the one AssociationMinutes produces from a meeting recording.

Most examples I found online are fragments, or plain text you would have to rebuild before anyone could sign it. This one is a finished document: the kind you put in the board packet, approve at the next meeting, and file. If you just want the sample file, jump to the download. For a blank version with placeholders, see the HOA meeting minutes template guide.

Financial Report

September 2026 Balance Sheet

James Dunleavy presented the balance sheet for the end of September 2026.

  • Operating funds: $118,406.22.
  • Reserve account: $402,915.07.
  • Total assets, including other assets: $528,664.90.
  • Three accounts are more than 60 days delinquent, totaling $1,842; one has been referred to the association’s attorney for collection.

Management Report

Storm Cleanup

Thomas Lindqvist reported that the August 27 storm brought down two trees along the walking path behind Lots 40 through 44. Hartwell Tree Service removed both trees for $2,380, which was covered by the storm allowance in the landscape contract. The stumps have not yet been ground.

Speeding on Creek Bend Drive

Rachel Okafor relayed complaints from several owners about cars speeding on Creek Bend Drive between the main entrance and the clubhouse. It was noted that speed humps would slow emergency vehicles and require approval from the fire district. The board reached informal consensus to price two solar-powered radar speed signs instead.

Perimeter Fence

Storm Damage and Options

Thomas Lindqvist reported that the August 27 storm also knocked down four sections of the cedar perimeter fence along Creek Bend Drive. Hollis Fence & Deck quoted $2,600 to replace the damaged sections in matching cedar, or $38,500 to replace the entire 600-foot road-facing run with composite fencing.

John Pruitt noted that the existing fence is nearly 20 years old, several other posts are leaning, and new cedar sections would not match the weathered fence. Composite fencing would not need staining and would last considerably longer. Rachel Okafor preferred the repair, noting that reserves also need to cover street resurfacing in 2028. The replacement would be paid for from reserves.

Motion — Approve the Hollis Fence & Deck proposal to replace the road-facing perimeter fence with composite fencing, not to exceed $38,500, paid from reserves.

Made by: John Pruitt, seconded by: James Dunleavy

Vote: 3 in favor, 1 opposed

Result: approved

2027 Budget

Proposed 2027 Operating Budget

James Dunleavy reviewed the first draft of the 2027 budget, which included the following principal changes:

  • Insurance estimated to increase 14%, pending the renewal quote.
  • Water increased 9% following the city’s rate change.
  • No change to landscaping, now in the second year of a three-year contract.
  • No change to the management fee.

The draft results in a 4.5% assessment increase, from $120.00 to $125.40 per month. The board reached informal consensus to finalize the budget at the November meeting so it can be mailed to owners at least 30 days before the start of the year.

Action Items

  • Sign the Hollis Fence & Deck contract and schedule the fence replacement. (Thomas Lindqvist)
  • Notify owners whose lots back onto the fence of the work schedule once it is confirmed. (Thomas Lindqvist)
  • Confirm that Hartwell Tree Service will grind the stumps along the walking path. (Thomas Lindqvist)
  • Obtain quotes for two solar-powered radar speed signs on Creek Bend Drive. (Thomas Lindqvist)
  • Update the 2027 budget draft with the insurance renewal quote and circulate it to the board before the November meeting. (James Dunleavy)

Adjournment

No executive session was held. The meeting was adjourned at 8:17 PM.

Why It's Written This Way

The header and attendance

Date, call to order, adjournment, and location each get their own line, so anyone looking for them later finds them at a glance. Attendance lists the absent director by name, not just the people who showed up. The community manager is listed with their role, because they attend but do not vote.

The quorum line

"A quorum was established with four of five directors present." One sentence, with the numbers. If anyone later asks whether a vote was valid, this is the line that answers it.

Approving the last minutes as a motion

Even a routine approval is recorded as a motion with who made it and who seconded it. That is the step that turns last month's draft into the official record.

Reports as facts, not narrative

The financial report lists the balances and the delinquencies as a count and a total. No owner names: owner-specific collection details belong in executive session. The management report gives each topic its own heading, with the status, the cost, and what is still open, like the stumps that have not been ground yet.

Discussion summarized, not transcribed

The fence section is two short paragraphs: the options with their prices, then the main point each director made. It does not record who said what in what order. It does give an owner reading it a year from now enough to understand why the board chose the $38,500 option over the $2,600 one.

A motion that stands on its own

The motion text names the vendor, the not-to-exceed amount, and where the money comes from, so it still makes sense if someone reads it without the discussion above it. It records who made and seconded it. Because the vote was not unanimous, it records the count: 3 in favor, 1 opposed.

Consensus is not a motion

The speed signs and the budget timing were decided without a vote. The minutes say "informal consensus" instead of inventing a motion that never happened. When the board is ready to spend money on the signs, that will be a motion at a future meeting.

Action items with one owner each

Every action item names exactly one person. "The board will look into it" is not an action item. Four of these belong to the community manager and one to the treasurer.

The adjournment line

It says whether an executive session was held. If one had been, the minutes would note that it happened and the general topic, never what was discussed.

If Your Meeting Went Differently

The sample covers a fairly smooth meeting. Here is how the same minutes would read in situations it does not cover, using the Harrow Creek names.

A motion that fails

Motion — Approve the purchase of two solar-powered radar speed signs for Creek Bend Drive, not to exceed $7,200.

Made by: Rachel Okafor, seconded by: John Pruitt

Vote: 1 in favor, 3 opposed

Result: defeated

Record failed motions too. They show that the question came up and what the board decided.

A tie vote

Vote: 2 in favor, 2 opposed

Result: defeated

Under Robert's Rules, a tie means the motion fails, because it did not get a majority. Check your bylaws in case they say otherwise.

An abstention

Vote: 3 in favor, 0 opposed, 1 abstained

Result: approved

Record abstentions separately from no votes. An abstention is not a vote against.

A director with a conflict of interest

James Dunleavy disclosed that his brother-in-law works for Hollis Fence & Deck. He did not take part in the discussion or the vote.

Motion — Approve the Hollis Fence & Deck proposal to replace the road-facing perimeter fence with composite fencing, not to exceed $38,500, paid from reserves.

Made by: John Pruitt, seconded by: Elizabeth Hargrove

Vote: 2 in favor, 1 opposed (James Dunleavy recused)

Result: approved

Record the disclosure before the discussion, and who stepped out. Your governing documents may have their own conflict-of-interest rules.

An executive session that was held

The board met in executive session from 8:05 PM to 8:30 PM to discuss a delinquent account. The meeting was adjourned at 8:34 PM.

Give the times and the general topic. What was said stays out of the open-session minutes.

A meeting without a quorum

Elizabeth Hargrove called the meeting to order at 7:02 PM. Only two of five directors were present, so a quorum was not established, and no business was conducted. The meeting was adjourned at 7:10 PM.

The minutes still get written. They are the record of why nothing was decided.

A director attending by phone or video

Present:

  • Elizabeth Hargrove (President)
  • John Pruitt (Vice President), by video
  • Rachel Okafor (Secretary)
  • James Dunleavy (Treasurer)
  • Thomas Lindqvist (Community Manager)

Note how each remote director attended. Where your bylaws allow remote participation, their votes count the same way as everyone else's.

A self-managed association

Without a community manager, the Management Report section becomes Committee Reports, or reports from individual directors, and action items go to directors by name. For example:

  • Obtain quotes for two solar-powered radar speed signs on Creek Bend Drive. (Rachel Okafor)

What's Left Out on Purpose

  • Direct quotes and who said what, in order.
  • Names of owners who are behind on assessments.
  • Anything discussed in executive session.
  • Side conversations and opinions that did not lead anywhere.

Minutes are the official record of what the board decided. They are not a transcript, and the shorter they are while still covering every decision, the easier they are to approve.
